1. Acceptance of Terms
By engaging KarTax, contacting CA Karan R. Ahalpara for professional services, or using this website, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not proceed with our services.
These terms constitute a binding agreement between you ("Client") and KarTax, operated by CA Karan R. Ahalpara ("CA", "we", "us").
2. Services Provided
KarTax provides the following professional services, subject to separate engagement letters or quotations as applicable:
- Income Tax Return (ITR) filing, tax planning, and notice reply assistance.
- GST registration, GSTR-1 and GSTR-3B return filing, and GST notice handling.
- TDS return filing and TDS advisory.
- Business registration: Private Limited Company, LLP, Partnership Firm, MSME (Udyam).
- Tax audit, statutory audit, net worth certificate, and turnover certificate.
- Bookkeeping, accounting, payroll, PF and ESIC advisory, MIS reporting, and bank reconciliation.
- Project report and CMA data preparation, Virtual CFO services, business valuation.
- Gujarat industrial subsidy assistance, project financing, DPR preparation, and government scheme advisory.
3. Client Obligations
To enable us to deliver services effectively and on time, the Client agrees to:
- Provide complete, accurate, and timely information, documents, and data as requested by us.
- Inform us promptly of any changes in business structure, ownership, turnover, or regulatory status that may affect compliance obligations.
- Respond to requests for clarification, approvals, or document submissions within the agreed timelines.
- Not withhold material information that could affect the accuracy of filings, certifications, or advice provided.
- Keep portal login credentials secure and not share them with unauthorised parties.
- Not use our reports, certifications, or advice for purposes beyond their original intended scope.
KarTax is not liable for penalties, interest, or adverse outcomes arising from incomplete or inaccurate information provided by the Client.
4. Fees and Payment
- Professional fees are agreed upfront before commencement of any engagement. We provide transparent, fixed pricing — no hidden charges.
- Government fees, portal charges, stamp duties, and notarisation costs are billed separately at actual cost with documentary evidence.
- Fees are payable in advance or as per the payment schedule agreed in the engagement letter.
- Delayed payments may result in pause of ongoing services until settlement. We reserve the right to charge simple interest at 12% per annum on overdue amounts after 30 days.
- Refunds for services already commenced are subject to a case-by-case review. Work completed up to the point of cancellation will be billed at the agreed hourly or service rate.
5. Deadlines and Timelines
We make every effort to meet statutory deadlines. However:
- Timely delivery is contingent on the Client providing all required documents and approvals within agreed timeframes.
- We are not responsible for missed statutory deadlines or resultant penalties where the Client fails to provide required information on time.
- Government portal downtimes, technical outages (on Income Tax Portal, GST Portal, MCA21), or force majeure events beyond our control are not our liability.
- We will communicate proactively if a deadline is at risk due to pending items from the Client.
6. Confidentiality
CA Karan R. Ahalpara is bound by ICAI's Code of Ethics and the professional duty of confidentiality. All client information — financial records, business data, personal identifiers, and communications — is treated as strictly confidential.
We will not disclose your information to any third party without your explicit consent, except where legally required (e.g., statutory filings on your behalf, court orders, or ICAI disciplinary proceedings).
7. Intellectual Property
- Reports, financial statements, certificates, and advisory notes prepared by us remain our intellectual property until full payment of the associated fee is received.
- Upon full payment, the Client has a non-exclusive, non-transferable right to use the deliverables for their intended purpose.
- The Client may not reproduce, resell, or represent our work products as their own without prior written consent.
- All website content, branding, and design elements of kartax.in are proprietary to KarTax and may not be copied or reused.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- KarTax's total liability for any claim arising from our services is limited to the professional fee paid for the specific service giving rise to the claim.
- We are not liable for indirect, consequential, or incidental losses including loss of business, loss of profits, or reputational damage.
- We are not liable for outcomes resulting from changes in law, government policy, or regulatory interpretation that occur after our advice is rendered.
- We do not guarantee specific tax outcomes. Tax advice is based on current law and your disclosed facts — outcomes may vary based on government assessment.
9. Termination of Engagement
- Either party may terminate an ongoing engagement with 15 days' written notice (via email or WhatsApp message).
- Upon termination, the Client must pay for all work completed up to the termination date.
- We will return all original documents provided by the Client upon termination and receipt of outstanding fees.
- We reserve the right to immediately terminate an engagement if the Client engages in misrepresentation, fraud, or illegal activity.
10. Dispute Resolution
In the event of a dispute arising from or in connection with our services:
- Both parties agree to first attempt resolution through direct good-faith negotiation within 30 days of the dispute arising.
- If unresolved, the dispute may be referred to a mutually agreed mediator.
- If mediation fails, disputes shall be subject to the exclusive jurisdiction of courts in Ahmedabad, Gujarat, India.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India, including the Income Tax Act 1961, GST Act 2017, Companies Act 2013, and ICAI regulations. All engagements are subject to Indian professional standards and regulatory frameworks.
12. Changes to Terms
We may update these Terms of Service periodically. The "Last Updated" date at the top of this page reflects the most recent revision. Continued engagement with our services after any update constitutes acceptance of the revised terms. For significant changes, we will notify active clients directly.
